Job Responsibilities:

• Maintain and handle full set of company statutory records for all local and overseas  companies ( excluding PRC companies) including but not limited to preparing minutes, statutory returns and filings, planning and arranging board meetings/shareholders' meetings;
• Ensure compliance with listing requirements and all relevant statutory and regulatory matters of the Group;
• Prepare and update the Group’s statutory and corporate reports, annual reports, interim reports, announcements, circulars and correspondence with Stock Exchange;
• Conduct corporate governance and compliance reviews;
• Organize and prepare for board meetings, committee meetings and shareholder meetings and draft minutes;
• Review documents related to corporate finance transactions;
• Handle ad-hoc assignments.

 Requirements:

• University graduate and member of HKICS;
• Minimum 8 years relevant experience in listed companies in HK;
• Solid hand-on experience in company secretarial matters is a MUST;
• Well conversant with Company Ordinance, Listing Rules, Securities and Future Ordinance and other statutory and regulatory requirements for HK & PRC companies;
• Independent, mature, meticulous, self-motivated, flexible and able to work under pressure;
• Good command of spoken and written English, Chinese and Mandarin.
