岗位职责：

1. 提供投资项目法律专业咨询，参与项目前期跟踪、洽商和法律谈判。根据需要开展投资项目法律调查工作或参与选择和协调外部律师开展法律尽职调查；委托律师开展调查的，负责对调查报告进行审核。
2. 对投资项目所涉各合同、协议等法律文件（包括保密协议、框架协议、投资合作合同、股东协议、公司章程、往来文函等）进行法律专业审核，把控项目法律风险。根据需要参与起草投资类合同法律文件，起草内部审批所需相关文件。
3. 处理CMU公司法律事务，包括公司维护及合规事宜（包括年审、董事变更、日常DD、与秘书公司的沟通合作等）、起草相关董事会、股东会、投资决策会文件（包括议程、议案、会议纪要和决议等）。整理并保管公司相关档案文件。

任职要求：

1. 具有香港永久居民身份或持有可直接前来任职的工作签证。
2. 法学或相关专业，全日制硕士及以上学历，有海外留学经历优先；
3. 三年以上资产管理、私募股权投融资相关工作经验；具有大型金融单位投行法务、资产管理机构、证券律师事务工作经验者优先；有海外跨境项目投资经验者优先；
4. 熟悉相关法律法规，具有独立的法律分析及法律文件起草技能；
5. 具备良好的中、英文口头以及文字表达能力，可起草公司法律事务相关中、英文文件；
6. 具备良好的分析判断能力、沟通协调能力和团队合作能力。

Job Description:

Taking on a mid-senior level lawyer within a team of legal professionals, you will support the private equity and asset management businesses. On a day to day basis, you will

1. advise on all the private equity transactions and related documents, as well as the regulatory matters involved, which includes but not limited to structuring of deal;handling corporate matters for its portfolio companies;term sheet drafting/reviewing; participating in term negotiation; performing due diligence on potential investments;working closely with external lawyers on complicated transactions; liaising with internal and external business partners on deal structuring;ensuring compliance with relevant regulatory authorities.
2. handling corporate matters for the fund and management company; preparing and archiving related documents for Board/Shareholder’s/IC meetings.

Desired Skills & Experiences:

The successful applicant will

1. either be a corporate lawyer, or a transaction lawyer in familiar with deal structuring, buyouts, mezzanine, debt investment with a minimum of 3-5 years’ exposures to private equity industry.
2. working experience in a PE fund is a plus;
3. a PRC or Hong Kong qualified lawyer and with excellent reading/writing/speaking skills in both English and Chinese;
4. ability to work closely with the business at all levels of seniority.
