Job Description

Our client is a HK listed Chinese company looking for a Named Company Secretary for their holding company. This role directly reports to the board of directors.

Job Responsibilities:

  • Provide full spectrum of company secretarial duties to the Group of companies in compliance with corporate governance, listing rules and other local statutory rules, laws and regulations;
  • All company secretarial matters including the setting up of entities (including companies and partnerships), updating statutory registers and effectuating other company transactions;
  • Organize board meetings and committee meetings, prepare board minutes and resolutions, annual and interim reports, announcements and circulars, statutory filings and maintaining proper statutory records;
  • Monitor and ensure compliance with the Companies Ordinance and other statutory and regulatory requirements;
  • Carry out all secretarial duties in regards to Money Lenders Licences;
  • Liaise and coordinate with internal and external parties, including solicitors and regulatory bodies; and
  • Carry out ad-hoc assignments as required.

Job Requirements:

  • Degree holder and member of ICSA / HKICS or equivalent;
  • Minimum 6 years of relevant experience gained from listed company;
  • Well versed in Hong Kong listing rules and requirements, Companies Ordinance and SFO reporting requirements;
  • Practical experience in dealing with PRC company secretarial matters is an advantage;
  • Independent, detail-oriented, self-motivated and good communication skills;
  • Proficient computer skills in Word, Excel and PowerPoint applications; and
  • Excellent command of written and spoken English and Chinese, including Mandarin;
  • Candidate with Compliance experience will be an advantage, but definitely not a must.
