Job Description

Position Summary

Reporting to the Hong Kong Corporate Secretary, the Assistant Corporate Secretary will support the provision of  corporate secretarial services and governance support for legal entities operating in State Street Hong Kong.  The Assistant Corporate Secretary will be detail oriented and demonstrate proven experience in assisting/supporting with the planning and preparation of board meetings, maintaining accurate records of board meetings and ensuring the board is operating effectively and legally, and in compliance with relevant laws and regulations.  In addition, the role will require supporting the implementation of regional and global governance initiatives where required.

Other competencies will include excellent written and oral communication skills, the ability to be proactive and work autonomously, and strong collaboration skills to build relationships with the executive team and board members.

Responsibilities

The role will be responsible for supporting the Corporate Secretary and Hong Kong legal entities in:  

  • Planning and facilitation of board of director and committee meetings including development of agendas and meeting logistics
  • Ensuring annual general meetings are held in accordance with requirements of the Companies Act and the Company’s Articles of Association
  • Preparation of draft minutes and company secretarial board agenda items, and ensuring prompt distribution
  • Maintaining statutory registers such as members, company charges, directors and secretaries etc
  • Filing of statutory returns and information with Company Registrars to report changes regarding the company or to comply with applicable laws and regulations such as annual returns, change of directors etc
  • Monitoring and implementation of procedures to facilitate compliance with relevant regulatory and legal requirements
  • Supporting developments in corporate governance, facilitate the induction of new directors and advise and assist   directors with respect to their duties and responsibilities, and compliance with company laws
  • Continual implementation of the Legal Entity Governance Standards across the legal entities and ensuring best practices are developed and implemented
  • Other corporate secretarial tasks as required

Education & Experience

  • Bachelor’s degree or equivalent
  • Company Secretarial qualifications and experience desirable but not a prerequisite
