Job Responsibilities

• Assist the Named-Company Secretary in handling all company secretarial duties of the company
• Handle full spectrum of company secretarial duties for subsidiaries and joint venture companies under listed group
• Prepare board minutes, announcements, circulars and interim/annual reports
• Assist in committee/board meetings coordination and ad hoc projects handling
• Maintain systematic documentations filing, SFO filings and update statutory record
• Perform company secretarial duties for the group’s and its subsidiaries
• Coordinate with Hong Kong share registrar and transfer officer
• Ensure proper compliance with regulatory disclosure, reporting and statutory filing requirements
• Update on corporate governance and compliance requirements
• Assist in organizing board/general/committee meetings
• Other ad hoc duties as assigned

Job Requirements

• Degree holder and Associate Member of HKICS/ICSA
• Minimum 5 yeas’ relevant company secretarial experience with at least 3 years of solid experience gained from listed companies.
• Well versed in Main Board Listing Rules and SFO reporting requirements
• Good command of spoken and written English, Mandarin is a plus
• Self-motivated, team player with good interpersonal and analytical skills and able to work independently and under pressure
• Good interpersonal skills, independent, self-motivated, well-organized, and having a strong sense of responsibility
• Immediate available preferred
