Job Description

 

Responsibilities:

 

  • Direct report to Chairman, lead a team of 2
  • Preparation of annual/interim reports, announcements and circulars under the listing rules of Hong Kong
  • Prepare board, committee and shareholders’ meeting papers and minutes
  • Assist to prepare and review for all the documents for corporate finance, disclosure transactions under the listing rules of Hong Kong or any special projects
  • Maintain proper statutory records, registers and corporate records for the listed company and its subsidiaries
  • Assist in ad-hoc projects as and when assigned

 

Requirements:

 

  • Degree holder preferably in Corporate Governance or Corporate Administration
  • Qualified legal solicitor is an advantage
  • Member of HKICS/ICSA would be preferred
  • Over 12 years’ experience in the company secretarial area, at least 8 years of which are listed companies’ experience (prior working experience in the PRC listed company is a MUST)
  • Familiar with listing rules of Hong Kong, SFO, Corporate Governance and Companies Ordinance
  • Attentive to details, well-organised, self-motivated, mature, independent, hardworking with good administrative skills and strong sense of responsibility
  • Good Mandarin and Chinese writing skills
  • Proficiency in computer skills (Microsoft Outlook, Word and Excel)
  • Occasionally travel to HQ in China is needed
