Responsibilities

• Provide full range of company secretarial support to Hong Kong & PRC companies and subsidiaries

• Provide advisory service to management on company secretarial service and other regulatory/statutory compliance matters

• Provides secretarial support to the Board and Board committees, shareholders meeting of the listed companies;

• Liaise with clients, accountants, bankers and lawyers on company secretarial and compliance issues directly

• Fulfils the requirements and ensures compliance with statutory rules and regulations; maintain and update proper statutory records

• Prepare annual or interim reports, announcements, circulars and SFO filings;

• Assist in the preparation of annual returns, notices for AGM and GM, and minutes and resolutions

• Assist in ad-hoc duties as assigned from time to time

   

Requirements

• Degree holder in Company Secretarial, Legal, Business Administration or related discipline

• Student Member/Member of HKICS/ICSA

• 3-5 years relevant experience, of which min. 1 year in listed company is preferred

• Knowledge of the Listing Rules, SFO, Companies Ordinance and other relevant regulations

• Good computer knowledge in Viewpoint software program, Microsoft Office, including Microsoft Word, Excel and PowerPoint 

• Excellent command of written and spoken English, Chinese and Mandarin

• Good initiative with strong self-motivation, good communication and interpersonal skills

• Candidates with less experience may be considered for the post of Company Secretarial Assistant
