DESCRIPTIONS

You will be responsible for the following areas:

• to act as named company secretary of listed companies
• to handle company secretarial issues for listed and private companies
• to ensure compliance of statutory and regulatory matters of the listed companies in compliance with the Hong Kong Companies Ordinance, the Securities and Futures Ordinance, the Rules Governing the Listing of Securities (the “Listing Rules”) on The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) and other relevant statutory and regulatory requirements
• to handle in preparation of annual/ interim/ quarterly reports and organization of meetings, including board meetings, committee meetings and shareholders’ meetings
• to liaise with the Stock Exchange and other regulatory authorities
• to handle full set of company secretarial matters and incorporation of companies in different jurisdictions 
• to perform ad hoc duties as assigned

PROFILE

The Successful Applicant possess:

• Degree holder, major in corporate governance, corporate administration and/or accounting or related discipline
• Qualified member of ICSA and/or HKICS or equivalent 
• At least 5 years related working experience in listed companies or professional firms
• Good knowledge in the Listing Rules and the Securities & Futures Ordinance, the Hong Kong Companies Ordinance and other relevant laws and regulations
• Good command of written and spoken English and Putonghua
• Pleasant, detail-orientated, well-organized and strong sense of responsibility
