Responsibilities

• Provide full range of company secretarial function for the Group
• Ensure the timely filing of all relevant statutory returns, notices and documents in compliance with the Companies Ordinance, Listing Rules and Part XV of the SFO
• Prepare agenda, other necessary papers and arrangements for meetings of the Board, relevant committees and shareholders, attend the same and draft minutes thereof
• Prepare and co-ordinate for the publication of interim reports, annual reports and results announcements of SHK&Co.
• Liaise with solicitors and printers for preparing announcements and/or circulars of SHK&Co. for corporate actions including various notifiable and connected transactions
• Assist in the corporate governance matters and prepare relevant documentation
• Handle the electronic submission of filings with the Stock Exchange

Requirements

• Degree in a related discipline with at least 10 years’ relevant corporate secretarial experience in listed companies, including over 3 years’ proven experience gained in a similar position for listed companies
• Candidate with less experience may be considered as Senior Associate
• Member of The Hong Kong Institute of Chartered Secretaries (HKICS)
• Good knowledge of Listing Rules, applicable SFO & companies’ law and corporate governance requirements
• Strong communication and interpersonal skills with good command of both spoken and written English and Chinese
• Mature, independent, well-organized and able to work under pressure
• Proficiency in MS Word, Excel, Chinese word processing & View Point Software System
