Job Description
The Company Secretary will provide support to the group(s) including but not limited to:
- Create, update and maintain statutory books, constitutional documents, company records and registers;
- Prepare and update the group(s)chart and the group(s) structure regularly;
- Maintain and monitor the usage of company chops and common seals;
- Update and maintain the filing system and record of all company secretarial documents;
- Prepare documentation such as minutes, resolutions, annual returns, etc. and do the timely statutory filings as required by law(s);
- Liaise with government authorities, external regulators and professional advisers as required;
- Maintain companies registry online search system and conduct company research on demand;
- Handle ad hoc company secretarial duties as assigned from time to time;
- Liaiseand work with overseas agents to set up offshore companies;

Ensure the group(s) is in compliance with the
applicable laws and statutory requirements.
The ideal candidate should possess the following qualifications and experiences:
- Degree in Law or Master of Corporate Governance;
- Minimum 5 years’ solid company secretarial experience in reputable professional firms and/or publicly-listed companies;
- Associate member of ICSA/HKICS;
- Well-versed with the Companies Ordinance and other relevant regulations;
- A positive team player with good interpersonal skills;
- Able to work under pressure, independently with attention to details and under minimal supervision;
- Excellent command of English and Chinese, proficiency in Putonghua will be a plus; and

Proficient PC skills in MS Word, Excel, PowerPoint and Chinese Word Processing.
