To enable the Asian Functions by providing legal advisory services and legal solutions related to contracts and agreements, corporate, IP, merger & acquisition transactions, law compliance, including antitrust, and litigation, contributing to the sustainable growth of the business, in accordance with assigned resources and in full coordination with the Corporate policies and Group General Counsel’s guidelines.

MAIN RESPONSIBILITIES

In full coordination with Legal HQ:

1. Participates in the Legal Affairs targets and choices, providing inputs accordingly with the Legal Affairs priorities and resources.
2. Contract and Agreement Management - Participates in the third party negotiations and provides the functions in charge with legal advisory & contractual solutions in order to facilitate the decision making process and resolve any possible critical situations.  Monitors the contracts & deeds execution, evaluates risks and issues, in order to meet targets assigned accordingly with business needs and legal requirements.
3. Corporate – Manages all the activities related to: Corporate activities pertaining to bodies secretary activities; delegation of authorities and corporate structure; Corporate/M&A intragroup projects
4. Regulatory Compliance – Formulate compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly.  Monitor compliance and advise management accordingly. 
5. Vendor Management – Provides input and information regarding the long term agreements with Legal services providers in order to build and maintain effective and durable partnerships.
6. Merger and Acquisition Transactions - Participates in the Merger & Acquisition negotiations with third parties, and provides the Business function in charge with legal advisory & solutions in order to facilitate the decision making process.  Develops, implements, and manages the projects execution accordingly to the approved plans.
7. Budget and Consultant Management – Ensures in line with business objectives the proper management of budget; Coordination of the external consultants with the aim to reduce the relevant involvement and the fees.

ROLE COMPETENCIES and SKILLS

1. At least 5 years legal experience ideally in a leading organization and/or international lawfirm, with a proven track record in contract negotiation and drafting.
2. Ability to provide independent advice (orally and in writing) to senior level management on highly technical matters
3. Demonstrate success in managing and conducting a variety of litigation matters
4. In-depth knowledge of Asian law (including regulatory law); basic knowledge of civil law principles.
5. Good planning and organizational skills
6. Proven ability to delicately solve sensitive matters
7. Languages: Both fluent spoken and written Chinese and English, knowledge of other Asian languages is an advantage
8. Masters degree
