Job Description
Our Client is a Main Board listed company with a very long history in providing financial and insurance products to institutional and retail client, currently looking for a Named Company Secretary to join their Group based in Hong Kong
Responsibilities
- Establish and review the guidelines for corporate governance and act as communication bridge between the board of directors
- Handle enquiries from HKex and monitor the compliance with listing rules
- Lead company secretarial team, co-ordinate with external business parties (Lawyers / solicitors) to deal with litigation issues
- Advices the legal issues to the Board for approval
- Prepare public announcements about connected transactions, placing or litigation
- Responsible for corporate governance report and annual return and in charge of AGM / EGM.
Requirements
- University degree preferably in Accounting / Finance / Law with 7 years of working experience in corporate governance and company secretary
- Named company secretarial in Main Board listed company is a must
- Relevant professional qualifications, such as HKICS, ICSA
- A sound knowledge in listing rules
- Fluency in written/spoken English, Cantonese and Mandarin
- Familiar with MS Word, Excel, PowerPoint
