Job Description

Role purpose: 

predominantly to provide proactive company secretarial support to QBE’s operations in Hong Kong, including acting as company secretary of designated companies. An element of the role is to provide additional in-house legal capability to the General Counsel Asia on Hong Kong transactions and large projects and dealing independently with smaller matters.

Responsibilities 

  • Manage the preparation for Board and Board Committee meetings, including liaising with all parties as required to schedule meetings, arranging catering, venues, liaising with and greeting visitors;
  • Review Board and Committee papers for correct formatting, general presentation and compliance with QBE’s Group standards and protocols and provide guidance to Senior Management on the preparation of Board and Committee papers;
  • Act as Company Secretary on designated entities; review and draft minutes and resolutions
  • Provide legal advice to Hong Kong entities, maintaining consistency of approach and best practice as well both on strategic/project basis and on ad-hoc/single issue basis as required to identify any risk to the business and recommend effective solution
  • Raise awareness of legal risk issues within the business
  • Collect and collate required inputs from senior managers for Board and Committee papers;
  • To ensure accuracy, maintain and manage the electronic filing system for board documents;
  • Maintain and manage the use of templates for Board and Committee materials;
  • Build and maintain strong and effective relationships within Legal team across International division to share information and learning across the team
  • Develop relationships with customers within the business to ensure that service delivery meets expectations and the Asia Legal team becomes a natural first port of call for advice.
  • Design and maintain a Board induction program and follow-up training for Non-Executive Directors;
  • Preparation, collation and distribution of materials required for Director elections;
  • Undertake Fit and Proper Assessments as required in relation to Non-Executive Directors and if required, for Senior Executives;
  • Assist in the preparation of the Annual Report and associated documents;
  • Co-ordinate the drafting of the Notice of Annual General Meeting;
  • Provide assistance in the arrangement of and running of the Annual General Meeting 

What would success look like

  • Solid working knowledge of company secretarial matters;
  • Continuously update knowledge of relevant industry and legal matters and meet CPD requirements
  • Solid understanding of the interpretation of contracts;
  • Understanding of insurance regulatory environment advantageous
  • Solicitor qualified in a commonwealth jurisdiction
  • High attention to detail;
  • Initiative and intuitive approach to your work and ability to foresee and act upon upcoming issues;
  • Professional, Diligent and Conscientious;
  • A proactive self-starter;
  • Able to extract data from appropriate sources;
  • Ability to review draft documents and accurately and consistently amend presentation, formatting, syntax, and spelling;
  • Able to communicate professionally, both verbally and in writing, with all internal and external stakeholders including Directors, Executives, Senior Managers and their Assistants;
  • Ability to work to deadlines and manage priorities;
  • Excellent command of English, Mandarin language skills will be an advantage
