Job Duties:

As the In-house Counsel, you will be reporting to the Head of Legal with following responsibilities:

1. Provide legal advice and support to legal issues arising from business operations;
2. Draft, review, comment and proof-reading commercial agreements and documents written in English and Chinese;
3. Support Financing, M&A and capital markets transactions including HKEX compliance matters;
4. Assist senior management on daily compliance risk identification, inspection and reporting; and provide legal analysis for the Company;
5. Conduct legal research, assist in perfecting the internal legal & compliance system;
6. Liaise and cooperate with external legal counsel;
7. Handle ad hoc tasks as assigned.

Requirements:

1. Bachelor Degree in Common Laws or above;
2. Over 5 years corporate legal work experience of listed company or lawfirm,
3. Well versed with Hong Kong Listing Rules;
4. Excellent written and spoken English and Chinese(including Mandarin);
5. Strong team player and with the eagerness to move in house;

   3. 為融資、並購和資本市場交易提供法律支持，包括香港交易所合規事宜；
   4. 協助公司管理層對日常的合規風險進行識別,檢查和報告，及提供專業法律意見；
   5. 參與法律事務的調研, 協助完善公司內部法務及合規制度；
   6. 協同及聯絡外部法律顧問工作；
   7. 處理公司指派的其他工作。

任職資格

1.      英美法法學學士或以上專業資歷；
2.      五年以上上市企業或律師事務所法務工作經歷；
3.      熟識香港上市條例；
4.      優秀的英文及中文（包括普通话）書寫及口語；
5.     有較強的團隊精神, 冀望加入企業內部法律團隊
