The Company

Hong Kong listed global manufacturer is looking for a senior corporate and commercial legal counsel with listing rules and company secretarial experience. You will work alongside other teams within the Legal function to maintain a consistent end-to-end legal support to wider business colleagues on commercial transactions and advise management members on listing rules compliance. Your main role is to provide 1st class end-to-end legal advice whilst working closely with the Corporate Development Team on the execution of their business strategy across APAC.

The Role

•          You will report to the CEO and work alongside other teams within the Legal function where you will primarily focus on providing legal advice and lead on transactional work in a leadership role.
•          You will help with the legal aspects of commercial transactions in multiple jurisdictions (and often cross border), adopting a collaborative business partnering approach.
•          You will ensure the requirements of the listing rules are complied so that the company is prevented of legal risks within the M&A process.
•          As the company’s General Counsel you will actively participate in all assigned projects and deals as a core team member, including delivery or core legal M&A activity and accountability.
•          You will advise and assist the CEO on other strategic corporate projects, such as share buybacks, rights issues, special dividends and debt financing.
•          An exciting part of this role requires you to build a strong working relationship with key stakeholders and wider business colleagues and pro-actively assist with the elimination of inefficiencies.
•          You must be a pragmatic lawyer who can advise, influence and support key stakeholders at all levels across our worldwide operations to ensure close alignment between the Legal function and business areas and identify and progress value creation opportunities.
•          Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.
•          Review progress of outstanding litigation and liaise with and manage external lawyers.
•          Notify Hong Kong Exchanges about disclosure of interest for any related investments held by the Group etc

The Candidate

8 PQE+ common law qualified lawyer with substantial Hong Kong listing rules experience. In-house experience and the ability to deal with various stakeholders is a must. Occasional travel to the PRC. The offices/ headquarters are located in the New Territories (walkable distance from MTR).
