Job Description

Our client is a top-tier MNC in FMCG industry. They are now looking for a Paralegal covering four territories including Hong Kong, Taiwan, Macau, and Mongolia.

The role requires someone with a sound understanding of commercial and corporate laws in these territories and be able to communicate complex legal issues and provide risk assessments in terms that non-legal colleagues can understand.

Key Responsibilities:

  • Review and approve package labels, marketing and advertising materials, online/ offline promotion to ensure the compliance with applicable local regulation as well as the company policies.
  • Prepare draft, review, and approve all types of contracts, including key account MOU, service agreements etc. Negotiating terms of agreements with suppliers, vendors, partners and other third parties to minimize Company’s legal risks.
  • Collaborating with the IP counsels to protect the intellectual property rights of the Company.
  • Handling Corporate Secretary matters. Collaborate with external Corporate Secretary team to prepare board minutes, board and shareholder resolution and do all related follow-ups, including internal records update.
  • Familiar with bottling system, draft and prepare bottler’s agreement, consents, authorizations, and other ancillary agreements, and supporting the business in managing the relationships with the bottlers, co-packers, customers, and other vendors for entire GC&M OU.
  • Support legal counsel to ensure compliance with local regulation, Company policies, and to assist legal counsel to provide proper training and support in the areas of corporate governance, including but not limited to Code of Business Conduct, Anti-Bribery Compliance, Supplier Guiding Principles, FCPA, Trade Sanctions, Anti-trust, Privacy, Data Protection, Cybersecurity, and other policies.
  • Support legal counsel to drive and promote an ethical culture and ensure compliance and governance standards are followed in the region. Provide training related to the Foreign Corrupt Practices Act, Trade Sanctions, Competition Law, Intellectual Property Law, and Data Privacy.
  • Contracts and Transactions: Draft, review and negotiate customer, distribution, sponsorship, marketing, and other contracts.
  • Update and maintain contracts and legal filing systems.
  • Attend meetings and participate in projects within global network.
  • Perform such other duties and participate in projects as may from time to time be assigned by the Legal Counsel.

Requirements:

  • Minimum 3+ years of experience as a paralegal or equivalent role. Experience in the FMCG industry or supporting marketing operations would be a plus.

  • Bachelor’s Degree in Law or equivalent
  • Fluent in verbal and written English, Cantonese, and Mandarin.
  • Proficient in the use of Microsoft Office suite of products. Strong presentation skills.
