Commercial

•         Summarize and effectively communicate legal concepts and concerns to the related business units at all levels;
•         Advising, drafting and negotiating a large variety of commercial agreements including multiple distribution structures, legal advice on day-to-day relationship with sales department ;
•         Assist with the drafting of contracts with suppliers;
•         Reviewing a wide variety of commercial contracts across all areas of the business including IT, logistics, marketing and retail operations;
•         Advise on co-branding deals.

Intellectual Property

•         Manage IP litigation disputes involving trademarks, copyrights and parallel imports issues;
•         Draft cease and desist letters, advise on dispute strategies and settlement options, instruct and manage external legal providers;
•         Provide advice to World Headquarters on registration strategies;

Marketing and digital

•         Advise the marketing team on the legal considerations and consequences of brand campaigns;
•         Draft agreements with third party agencies, PR companies and other creative providers;
•         Provide advice on image rights and data protection in general;

•         Review and advise on all printed and online promotional materials, advise on competitions;
•         Advise upon all legal implications about the use of all forms of social media;
•         Monitoring regulatory framework surrounding brand advertisement.

Compliance

•         Keep abreast of the regulatory framework in which Alpargatas operates and keep the relevant departments informed of upcoming issues which may be relevant to the business;
•         Provide training to company and its affiliates on substantive legal topics;
•         Assist in compliance with privacy principles;
•         Advise on labeling and product regulatory compliance;
•         Provide legal advice on consumer laws relating to the sale of goods in store and online.

Corporate

•         Managing the corporate activity;
•         Liaising with finance department for compliance issues (audits, tax compliance); 
•         Drafting/reviewing finance arrangements (bank financing, guarantees, intra-group finance related documents).

General

•         General litigation support;
•         Instruct and coordinate external counsel;
•         Develop strategies to avoid costly litigations and reduce potential areas of risk;
•         Management and negotiation of legal budget.

• Bachelor degree in Law
• At least 5 years of experience as in-house counsel, preferably with an emphasis on intellectual property law and commercial law.
• Assertive and sound judgement
• Ability to convey complex legal concepts and risks across the organization in a simple and articulated manner
• Willingness to learn, desire to help, flexibility, responsible and all hands-on-deck approach.
• Chinese and English native level is a must
• International experience
