Scope of Responsibilities:

• Act as legal assistant/paralegal on APAC and US investments and manage transaction execution with supervision by legal counsels
• Ground level review, draft and negotiate full range of investment documentation, including private placements memorandum, limited partnership agreement, side-letters, distribution agreement, sales and purchase agreement, private placement agreements, asset and stock purchase agreements, shareholders' agreements, restructuring support and other applicable agreements, subscription agreements, non-disclosure agreements, letters of intent, term sheets, board minutes and other similar transactional documentation
• Responsible for regulatory filings, company secretarial and administrative matters for entities around the world (excluding PRC)
• Assist legal counsels in managing and reviewing work product of outside legal counsels generally, including with respect to deal and cost management
• Work closely with investment managers and other investment professionals around the world and provide corporate service and secretarial support relating to funds and offshore SPVs
• Coordinate and work with business teams, product attorneys, compliance, risk, and operations teams regarding various investment funds in APAC and US
• Coordinate with compliance and risk teams with respect to SOPs, policies, SFC rules, guidelines, enforcement, enquiry and other regulatory matters
• Take initiative to identify and analyze problems, generate alternative solutions and make decisions with little direction/supervision

 Skills & Qualifications:

• Experienced paralegals/part-time law students with genuine interest in investment funds and corporate work
• Top law schools students or graduates regardless of admission or qualification
• Demonstrable experience in translation and company secretarial matters in APAC and US is preferred (with a particular focus on Cayman funds and HK company registry filings)
• Strong knowledge and understanding of contract, companies, commercial and trust law
• Experience in coordinating multiple documents, references, closing deliverables, signing packs and completion checklist is preferred (basic knowledge of full life circle of a fund is a plus)
• Basic knowledge of the PRC, HK, US and Singapore regulatory regimes is a plus
• Excellent English and Chinese communication skills (verbal and written) with the ability to build relationships across various internal stakeholder groups at all levels of management is essential
