Job Description

Scope of Responsibilities:

  • Act as company secretary for holding company listed in NYSE and HKSE
  • Review, draft and file all necessary announcements, disclosures and documents with exchanges, registries and regulators
  • Responsible for timely regulatory filings, HK & NY listing rules compliance, company secretarial and administrative matters for entities around the world (excluding PRC)
  • Manage and review work product of outside legal counsels/secretarial services providers, including with respect to deal and cost management
  • Work closely with internal legal team, management in both HK, Shanghai and US, investment managers, fund operations and administrative professionals around the world and provide secretarial support relating to funds and offshore SPVs

 Skills & Qualifications:

  • ICSA/HKICS qualified with around 1 to 3 years’ experience preferred
  • Candidates with relevant experience will also be considered
  • Demonstrable experience in listing rules disclosure, company secretarial matters, annual/incidental filing obligations, incorporation & maintenance of entities in HK and offshore jurisdictions
  • Strong knowledge and understanding of CO (Cap. 622), SFO, companies acts in other commonwealth countries
  • Experience in preparing in-house documents, bundles, signing packs, folders restructure preferred
  • Knowledge of the PRC, HK, US and Singapore regulatory regimes is a plus
  • Excellent English and Chinese communication skills (verbal and written) with the ability to build relationships across various internal stakeholder groups at all levels of management is essential
