職責：

• 獨立處理上市集團的公司秘書工作
• 準備年度報告、中期報告、公告、通函、董事會文件和董事會會議記錄
• 與監管機構和專業機構溝通或協調
• 計劃、組織和處理與召開董事會、委員會和股東大會有關的所有事務
• 確保適當和及時地遵守上市規則、公司條例和所有監管要求
• 確保適當的法定存檔和有效維護所有內部公司記錄
• 處理任何臨時項目

Job description

• Handling a full spectrum of company secretarial duties the listed company, including drafting announcements and circulars; organizing boards, committees and shareholders meeting; preparing board minutes and resolutions and ensuring compliance with all relevant statutory and regulatory matters
• Prepare reports, announcements, circulars and statutory papers as required
• Ensure compliance of statutory and regulatory matters, e.g. pertaining to  Company Ordinance, Listing Rules, Securities & Futures Ordinance, Money Lending Ordinance, AML, and others
• Review all agreements, both legal and corporate secretarial documents for the company and its subsidiaries
• Handle ad hoc assignments

入職要求：

• 大學以上學歷, 具良好的中、英文字功底和翻譯能力
• 有5年以上上市公司或秘書公司或公司秘書助理相關工作經驗者優先
• 熟悉公司條例及香港上市規則及要求、具備上市公司或專業機構之公司秘書經驗者優先
• 熟練應用office等辦公軟體，良好的溝通和表達能力，較強的學習能力
• 工作細膩，辦事嚴謹，能抗壓，具有良好的職業操守
• HKCGI會員優先
• 即時上班優先

Qualification

• Degree holder with qualification of being an Associate of HKCGI
• Minimum 5 years’ working experience in company secretarial field in listed companies is preferred
• Proficient in written and spoken Mandarin Chinese, Cantonese and English with excellent MS Office skills
• Working experience in financial institutions / Legal background is highly preferred
• Immediately available is preferred
