Scope of Responsibilities:

• Act as legal manager on APAC and US investments and manage transaction execution, daily legal daily matters, with a particular focus on PRC transactions and clients
• Assist teammates to review, draft and negotiate full range of investment documentation, including PPM, LPA, side-letters, DA, SPA, PPA, SHA, SA, NDA, LOI, term sheets, BM and other similar transactional documentation
• Provide ground level support and responsible for regulatory filings, listing rules compliance, company secretarial and administrative matters for entities around the world (excluding PRC)
• Manage and review work product of outside legal counsels, including with respect to deal and cost management
• Work closely with investment managers and other investment professionals around the world and provide legal advice and secretarial support relating to funds and offshore SPVs

Skills & Qualifications:

• Holder of a law degree with around 2 to 5 years’ experience
• Candidates from high caliber law firms or legal department of asset management companies or investment banks is preferred
• Some experience in any investment funds (preferred but not a must), corporate transactions, capital markets and company secretarial matters in HK and US is preferred
• Basic knowledge and understanding of any USD funds, alternatives markets, commercial contracts, banking products, industry practices, general corporate, and applicable regulatory regimes (with a particular focus on Cayman funds and HK company registry filings is a plus but not necessary)
• No experience needed in advising fund managers and operations in transactions, funds distributions, operations, multiple closings, dissolution, liquidation (but some knowledge of full life circle of a fund is a plus)
• Basic knowledge of the PRC, HK, US and Singapore regulatory regimes is a plus
• Good English and Chinese communication skills (verbal and written) with the ability to build relationships across various internal stakeholder groups at all levels of management is essential
