Position : Senior Legal Executive / Senior Legal & Compliance Officer / Paralegal (2 Post) 

Salary : Negotiable (Deps on experience and qualifications) 

Requirements : 

• Bachelor Degree in Law or Legal or similar disciplines is a must 
• At least 8-10 yrs or above relevant experience in In-house / Law Firm 
• Gained experience in sizable companies or multinational companies are an advantage
• In-house experience in Compliance, Trading or Financial Industry is highly preferred
• Excellent spoken & written  in English, Cantonese & Mandarin - most important
• Independent, responsible and able to work under pressure with a positive working attitude
• Short notice or Immediate available is an advantage

• Provide advice on and handle legal & compliance matters
• Draft, review, revise and advise on new or existing policies and procedures to ensure compliance with legal requirements and to minimize legal exposure
• Advise and provide support on compliance issues including anti-bribery and corruption, anti-money laundering, sanctions, market conduct, conflict of interest, trade secret and data protection and etc
• Liaise with counter parties, exchanges, regulatory bodies, external counsels and other professional parties
• Provide advice to the management and commercial teams on legal disputes and litigation/arbitration, communicate and manage external counsel when necessary
• Assist in contract or agreement drafting, reviewing and negotiation such as ISDA or clearing broker client agreement
• Manage company secretarial and corporate governance works
• Handle ad-hoc assignments or projects as required  

• Drafting, reviewing and revising all aspects of agreements including non-disclosure agreements, design service agreements, sub-consultancy agreements, tender submission, memorandum of understanding, and other commercial legal documents
• Negotiating contracts with clients and sub-consultants
• Handling breach of contracts in a timely manner
• Conducting legal research to ensure contracts are updated and in compliance with laws
• Keeping awareness on updated legal cases in relation to the industry including IP right, breach of contracts, professional indemnity insurance
• Liaising with project directors/ senior architectures to analyze and determine comprehensive contract terms
• Designing standardized language and guidelines for contracts
• Providing legal support and advices on all aspects
• Responding to queries on legal issues from other project team and detect legal risks
• Handling ad hoc matters as required
