Job Description

Specific Responsibilities: 

  • Assist in the formation of new affiliates in the region including the preparation of application documentation, the execution and filing of the documents and following through the process.
  • Ÿ   Handle the post-incorporation formalities of the new affiliates including the appointment of auditors, company secretary and tax filing agent and the opening of bank account.
  • Ÿ   Maintain accurate and up-to-date statutory records of the affiliates in the region including the annual filings with the relevant authorities.
  • Ÿ   Draft minutes or resolutions of board of directors or shareholders for the affiliates in the region regarding various kinds of corporate actions/transactions.
  • Ÿ   Update and maintain legal files and corporate documents of the affiliates in the region.
  • Prepare, maintain and update the records retention policies and schedules for the affiliates in the region.
  • Ÿ   Build and maintain a records management system and a contracts management system for the affiliates in the region.
  • Ÿ   Prepare and update standard agreement templates.
  • Ÿ   Assist in the preparation of legal and transactional documents.
  • Ÿ   Assist in the preparation of legal policies and training materials.

 

Essential Duties and Job Functions: 

  • Ÿ   Responsible for the timely and accurate preparation and/or review of research, documents, contracts, applications, materials and information in support of attorneys and cross-functional clients.
  • Ÿ   Identifies and analyzes problems or issues which may arise within their defined area of expertise and recommends sound and well thought out corrective action.
  • Ÿ   Consistently maintains appropriate internal controls and upholds company policies & procedures.
  • Ÿ   Provides ongoing outreach to internal clients with respect to business process improvement opportunities.
  • Ÿ   Directs and act as lead in discussions and negotiations with third party counsel or contracts personnel.
  • Ÿ   Conducts presentation of core training sessions to business groups, as well as frequent education of internal business clients.
  • Ÿ   Participates in the negotiation of legal and other contractual issues on an as-needed basis.
  • Ÿ   Recognizes changes in regulatory and/or other legal requirements that may impact Gilead’s guidance documents and leads the process of modifying previously released templates and guidance documents in response to evolving needs of Gilead’s business groups.
  • Ÿ   Reviews and negotiates all new contracts, consisting primarily of professional service agreements, work orders, material transfer agreements, master laboratory services agreements, software license agreements, consulting services agreements and confidentiality agreements.
  • Ÿ   Collaborates with Counsel, consultants, business development staff and all levels of management to maintain Gilead standards in contractual terms.  

 

Knowledge, Experience and Skills: 

  • Ÿ   Excellent verbal, written, interpersonal and telephone communication skills are required.
  • Ÿ   Proven ability to effectively manage a large workload that has multiple, conflicting priorities.
  • Ÿ   Ability to prioritize daily issues, tasks and projects in a fast-paced environment.
  • Ÿ   Excellent organizational skills and ability to perform in a high paced, deadline intensive environment.
  • Ÿ   Must have good attention to detail and competency in Microsoft Word and Microsoft Outlook.
  • Ÿ   Must demonstrate good skills, depth and knowledge depending on area(s) of responsibility.
  • Ÿ   Must have good judgment and be able to assess business risk when carrying out day to day work.
  • Ÿ   Must be able to independently identify issues related to legal and/or business risks associatedwith an area of expertise.
  • Ÿ   4+ years of prior industry or law firm experience as a paralegal and a LLB degree.
  • Experience in the pharmaceutical industry preferred.
