Head of Legal - TMT

Client Details

Our client is a TMT company and they are seeking a seasoned, business‑savvy Head of Legal with extensive leadership experience and strong technical expertise in TMT regulatory and commercial matters. This role will lead all legal, regulatory, risk, and compliance functions, providing strategic counsel to senior management and overseeing legal operations across multiple jurisdictions.

Description

• Serve as the primary legal advisor to the senior leadership team and Board.
• Develop and execute the legal strategy aligned with the company's growth, digital initiatives, and cross‑border expansion.
• Lead, mentor, and grow the in‑house legal team; manage external counsel and legal budgets.
• Draft, negotiate, and advise on complex commercial agreements, including technology licensing, SaaS, IP licensing, media/content deals, distribution and partnership agreements.
• Provide counsel on corporate governance, shareholder matters, and board documentation.
• Monitor and advise on Hong Kong and regional TMT regulations, including telecom licensing, broadcasting rules, data privacy (PDPO and equivalents), cybersecurity, IP, advertising standards, and consumer protection.
• Build and maintain a robust compliance framework and internal control environment.
• Manage regulatory submissions, approvals, and relationships with relevant authorities.
• Identify legal and regulatory risks and develop robust mitigation strategies.
• Oversee dispute management, litigation, arbitration, and regulatory investigations.
• Establish clear policies, training, and governance processes across business units.

Profile

• Hong Kong-qualified lawyer with at least 15+ years of post‑qualification experience.
• Strong background in the commercial sector, including telecom, digital platforms, media/content ecosystems, or high‑growth technology companies.
• Extensive experience in complex commercial contracting, regulatory advisory, corporate governance, and data privacy compliance.
• Proven ability to lead in‑house teams, influence senior stakeholders, and operate in fast‑moving environments.
• Experience managing cross‑border matters and multi‑jurisdictional regulations.
• M&A or capital markets experience is a strong advantage.
